RECITALS
A. Retailer is any IGA or Foodworks bannered independent retail grocery store purchasing the Internet Services on a three-year subscription, charged annually.
B. IGL is in the business of providing Internet Services and the IGL Content.
C. Metcash is in the business of providing the Metcash Content.
D. IGL is in the business of receiving Internet Services.
E. The parties wish to work together with respect to the Internet Services and the Content on the terms and conditions set out in this Agreement.
THE PARTIES AGREE AS FOLLOWS
1. Definitions and interpretation
1.1. Definitions
Confidential Information means all information in whatsoever form that is:
a) Marked/identified as “confidentialâ€, “commercial in confidenceâ€, “not to be disclosedâ€, or “privateâ€;
b) is designated, described or referred to by the discloser in any document or correspondence as confidential, commercial in confidence, secret or private or not to be disclosed;
c) the receiving party knows or ought to know is confidential;
but does not include any information which prior to the date of this Agreement was lawfully in the public domain or which the discloser has published, circulated or announced publicly or was developed by the receiving party independently of the disclosing party.
Content means the IGL Content and the Metcash Content.
Dashboard Site Reporting
a) Level 1: high level summary data represented utilising traffic light system calculating compliance under the following categories, including but not limited to; on time, late, not submitted, invalid and non-compliant. No RAW data presented at this level.
b) Level 2: head line log sheet data comprising the following categories, including but not limited to; status, date / time, log sheet name, date / time / window interval, corrective action and manager comments. Limited RAW data presented at this level.
c) Level 3: detailed log sheet activity data, all data captured, RAW data.
Fee means the fees set out in Schedule C.
IGL Content means the WHS content available through the Internet Services.
Internet Services means the software available through www.refss.com.au being IGL’s dashboard for compliance, operations and reporting for retail grocery stores which includes, but is not limited to, the Metcash Content and the IGL Content, a further description of which is set out at item 3 of the Schedule B.
Metcash means Metcash Trading Limited and all subsidiary entities.
Metcash Charge Through Services means the existing process of in charging external suppliers products and services via a Retailers trading account with Metcash.
Metcash Content means the Food Safety and Trade Measurement content and the content available through the Internet Services.
Metcash Food and Grocery Retail Operations means the Area Manager assigned to Retailer by Metcash.
Retailer means a retailer trading under a Metcash Food and Grocery serviced trading banner.
Standard Configuration means “out of the box†Internet Services without any Retailer specific modifications, amendments or customisation.
Standard Support means telephone and chat support allocated per product as per Schedule C.
Store Summary Report means
a) Critical Compliance Questions summary defined by the Metcash, National Retail Council and individual IGA State Boards as required.
b) Dashboard Site Reporting – Level 1
c) Dashboard Site Reporting – Level 2
Subscription software licence is granted as an annual subscription.
Term means the term set out at item 1 of the Schedule B.
2. Purpose
2.1. Metcash and IGL have an existing Services and Supply of Data Agreement, this Service Level Agreement is an Addendum to this agreement, and as such extends the term of Services and Supply of Data Agreement by three years from the date of this Agreement.
2.2. IGA State Boards endorse REFSS to manage store compliance and will use best endeavours to roll out the Internet Services to all stores state wide.
3. Grant of Licence
3.1. IGL grants to Retailer a Subscription licence to access and use the Internet Services for the Fee for the Term.
4. Pricing and Payment
4.1. Existing Subscriptions will be honoured until the current renewal date, whereby Retailer Subscription will be charged at pro rata for the remaining period based on Basic Bundle, Full Bundle or Individual Product pricing.
4.2. The Retailer will be invoiced through the Metcash Charge Through Service and must pay within the terms as specified by Metcash.
4.3. Prices for Internet Services are listed on www.refss.com.au
4.4. Retailer pricing based on Store Configuration as per Schedule A outlining particular departments and services offered in store.
4.5. The parties agree that Retailer may purchase additional products and services available through the Internet Services. These additional services will be charged through the Metcash Charge Through Service. Fees paid will be on a pro rata basis, whereby all Internet Services shall share a common State renewal date. For clarity examples are provided in Annexure 2 - Subscription Renewal and Roll Out Examples.
5. Content
5.1. Metcash will supply, and update as required, Intellectual Property to IGL for the purposes of the Internet Services for the duration of the Term.
6. Data Sharing and Reporting
6.1. Retailer agrees that Store Summary Report will provided to Metcash by IGL for the Term. Reporting will be made available within 14 days of each month for the previous month.
6.1.1. Risk System self-audit
6.1.2. Log sheet submissions summary
6.1.3. Reminders and tasks summary
6.1.4. Implementation summary
6.1.5. Registers summary; and
6.1.6. Any new modules released.
6.2. The Store Summary Report may be used by Metcash Food Safety and or Retail Operations Group to assist the store in resolving operational and compliance issues.
6.3. Metcash agrees that it only has a right of access to the Store Summary Report and that all raw data is only accessible by Metcash with the express permission of Retailer.
6.4. Metcash is prohibited from using Data Sharing and Store Summary Report for any purpose other than the management of Risk for the banner brand.
6.5. IGL will have access to all data generated through the Internet Services by log sheet submissions and dashboard activity.
7. Support
7.1. If Retailer requires any assistance with the Internet Services, the Metcash Food and Grocery Retail Operations team are the first point of contact for the Retailer.
7.2. If the assistance referred to at clause 6.1 above comprises:
7.2.1. software technical support, Retailer will contact IGL if the Area Manager is unable to provide the necessary support, subject to clauses below;
7.2.2. a request for assistance relating to the Metcash Content, the parties agree that Metcash Food Safety will provide the necessary support; and
7.2.3. a request for assistance relating to the IGL Content, the parties agree that IGL will provide the necessary support;
7.3. The parties agree that IGL will provide the software technical support as follows:
7.3.1. During the hours of AEST 8am to 6pm, Monday to Friday, excluding national and Victorian public holidays;
7.3.2. By answering or responding to a telephone call or email seeking assistance within (30) minutes of the call being made or email being received during the hours referred to at clause 6.3.1 above;
7.3.3. By then requesting information from Retailer to enable IGL to categorise the request for assistance in accordance with the levels set out at item 4 of the Schedule B following which IGL will use its best endeavours to resolve the request for assistance within the resolution times associated with the relevant level as set out at item 5 of the Schedule B.
7.4. IGL will provide Standard Support to the Retailer in setting up and monitoring Standard Configuration for Internet Services.
7.5. IGL will use its best endeavours to meet the resolution times set out at item 5 of the Schedule B in 95% percent of the total requests for assistance in any given month.
7.6. If IGL fails to meet the target referred to at clause 6.4 above in three (3) consecutive months, IGL will provide to Metcash a written action plan with respect to correcting or avoiding future failures and, should Metcash be dissatisfied with the proposed action plan or should IGL fail to achieve its target for a fourth month, senior representatives of each of the parties agree to meet to discuss the causes of the failures and the appropriateness of the target.
7.7. In addition to the matters set out at clause 7.6 above, if IGL fails to meet the target referred to at clause 7.4 above:
7.7.1. Metcash may request IGL attend a meeting with Metcash to discuss the failure;
7.7.2. IGL must attend all such meetings; and
7.7.3. IGL agrees to take the steps determined in such meetings within 5 days of that meeting.
8. Intellectual property
8.1. All data generated through the Internet Services by log sheet submissions and dashboard activity vests with the Retailer immediately upon its creation.
8.2. Metcash agrees that it must not view or interrogate the data referred to in clause 7.1 above.
8.3. Any intellectual property owned by or licenced to any party as at the date of this Agreement remains vested in that party.
8.4. All intellectual property generated utilising Internet Services remains the property of IGL.
8.5. Any other intellectual property not referred to in clause 8.1, or 8.3 above vests in the creator immediately upon its creation.
9. Confidential information
9.1. Each party undertakes not to use or disclose to any other person or entity any of the other party’s Confidential Information and will only use such Confidential Information in good faith and for the proper purposes of this Agreement and subject to any restrictions imposed by the party that provides the Confidential Information.
9.2. Notwithstanding clause 8.1 above, a party may disclose information if and to the extent that such disclosure is required by law or court order, it has entered the public domain, or by written approval of the disclosing party.
9.3. This clause 8 survives the expiration or termination of this Agreement.

Item 4: Assistance Levels
Level 1 – assistance is sought relating to a perceived problem in the operation of the application which causes the destruction of data or otherwise results in the application being totally unavailable for the use or access by a permitted user in connection with mission critical business processes with no immediately available workaround.
Level 2 – assistance is sought relating to a perceived problem in the operation of the application which causes performance issues which adversely affect the normal business operations of permitted users, but for which there is a temporary workaround.
Level 3 – assistance is sought relating to a perceived problem in the operation of the application which does not have immediate impact on the business operations of permitted users.

ACCEPTANCE OF TERMS.
The services that IGL provides to you are subject to the following Terms of Use ("TOU") and the Software
License Agreement on our website. IGL reserves the right to update the TOU at any time without notice to you. The most current version of the TOU can be reviewed by clicking on the "Terms of Use" hypertext link located at the bottom of our Web pages.
DESCRIPTION OF SERVICES.
IGL provides you with access to a variety of resources, materials, downloads, documentation and services, including Software as a Service (SaaS) in the form of applications for use on mobile devices or dashboards and reporting functionality via hosting services, communication forums, educational and support materials and product information (collectively "Services"). The Services, including any updates, enhancements, new features, and/or the addition of any new IGL product and service, are subject to the TOU.
PERSONAL AND NON-COMMERCIAL USE LIMITATION.
Unless otherwise specified, the Services are for your personal use to add value for the licensed business. This is a non-commercial use in that you may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products or services obtained from the Services.
PRIVACY AND PROTECTION OF PERSONAL INFORMATION.
See the Privacy Statement on the IGL website for disclosures relating to the collection and use of your information.
GENERAL – PUBLIC CONTENT
You may be held legally responsible for the content you submit to our website or any other IGL Services.
All material published by you on our website, or other IGL Services is at IGL’s sole discretion.
Your contribution may be edited, removed or not published if IGL considers it to be:
(a) defamatory, or otherwise unlawful or that it violates laws regarding harassment, discrimination, privacy or contempt;
(b) intentionally false or misleading;
(b) an infringement of intellectual property rights or copyright. See below for further information on copyright;
(c) abusive or offensive, including obscenity, blasphemy and racial vilification;
(d) of nuisance value, inappropriate, off topic or vexatious;;
(e) compromising the privacy of yourself, other contributors or of IGL Services, or containing inappropriate
personal information;
(f) deliberate provocation of other community members;
IGL reserves the right to archive and republish all contributions to its interactive features across all platforms.
Contributors should be aware that their posts may remain online indefinitely.
IGL reserves the right to use contributions for internal training purposes.
Repeated breaches of these Terms of Use may cause IGL to cancel your license subscription and in very serious cases, initiate legal action.
COPYRIGHT
The right to "copy" always remains with the owner of the material. Unless expressly stated otherwise, you are not permitted to copy or republish anything you find on the internet or provided by us without the copyright owner's permission. If you wish to refer to material on someone else's website we recommend you include an attribution in your message. Under Australian copyright law, limited quotation is permissible in the context of genuine review and criticism. When you submit content, in any format, you acknowledge that you have all necessary rights, including copyright, in the material that you are contributing to IGL Services.
NOTICE SPECIFIC TO SOFTWARE AVAILABLE ON THIS WEB SITE.
Any software that is made available to login via a hosted service or download from the Services ("Software") is the copyrighted work of IGL and/or its suppliers. Use of the Software is governed by the Software License Agreement on our website and the terms of the end user license agreement, if any, which accompanies or is included with the Software ("License Agreement"). An end user will be unable to install or access any Software that is accompanied by or includes a License Agreement, unless he or she first agrees to the License Agreement terms.
The Software is made available for download or login solely for use by end users according to the License Agreement. Any reproduction or redistribution of the Software not in accordance with the License Agreement is expressly prohibited by law, and may result in severe civil and criminal penalties. Violators will be prosecuted to the maximum extent possible.

MEMBER ACCOUNT, PASSWORD, AND SECURITY.
If any of the Services requires you to register an account, you must complete the registration process by providing us with current, complete and accurate information as prompted by the applicable registration form. You also will choose a password and a user name. You are entirely responsible for maintaining the confidentiality of your password and account. Furthermore, you are entirely responsible for any and all activities that occur under your account. You agree to notify IGL immediately of any unauthorised use of your account or any other breach of security. IGL will not be liable for any loss that you may incur as a result of someone else using your password or account, either with or without your knowledge. However, you could be held liable for losses incurred by IGL or another party due to someone else using your account or password. You may not use anyone else's account at any time, without the permission of the account holder.
NO UNLAWFUL OR PROHIBITED USE.
As a condition of your use of the Services, you will not use the Services for any purpose that is unlawful or prohibited by these terms, conditions, and notices. You may not use the Services in any manner that could damage, disable, overburden, or impair any IGL server, or the network(s) connected to any IGL server, or interfere with any other party's use and enjoyment of any Services. You may not attempt to gain unauthorized access to any Services, other accounts, computer systems or networks connected to any IGL server or to any of the Services, through hacking, password mining or any other means. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available through the Services.

Collecting and Using Information
IGL collects two types of information. The first type is anonymous information. For example, we may collect information to tell us how many people accessed this Privacy Policy on a particular day, but we do not know their personal information (i.e. we do not know their names, addresses, where they live or their place of birth as they are ‘anonymous’ to us). IGL only uses anonymous information in the aggregate. This collective data helps us determine audience usage of our sites, so we can improve our services. We may publish this anonymous aggregate data, or provide it to other people. The second type of information IGL collects is personal information. Personal information is collected by our staff in the course of providing customers with our products and services. Most personal information is provided directly by the owner of that information for a specific purpose.
We do not collect information about your sexual preference, race and/or religion, unless you have consented to provide the same or where we are permitted or required by law to do so.
We use the personal information only for the designated specific purpose for which it was collected (and
purposes to which you have consented).
Examples of situations in which we collect personal information include when you request to be placed on a mailing list or ask about our products or services.
In addition, IGL may use your personal information for related secondary purposes. Examples of secondary purposes for which we use personal information include where we conduct a credit check or where we send you bulletins or information about other products and services that we provide.
With each customer we may collect personal information and financial information so that we can collect payment for the products and services we deliver.
